Article 1 (Purpose and Application)
① The purpose of these Terms is to set forth the rights, obligations, and responsibilities between the Clinic and the user (hereinafter the "Member") in connection with the use of the online reservation and related services (hereinafter the "Service") provided by the Cellin branch at which the Member has applied for membership registration or an appointment, namely Cellin Clinic Hongdae (hereinafter the "Clinic").
② The establishment, operation, and management of this Site (hereinafter the "Site") are performed by Rootsquare Inc. under the entrustment of the Clinic.
③ In these Terms, the "Clinic" refers to the Cellin branch used by the Member, and its trade name and business information are specified according to the branch that the Member accesses, joins, or makes an appointment with.
Article 2 (Definition of Terms)
① "Service" means the entirety of online reservation-related services through which the Member applies for a visit appointment with the Clinic via the Site, and the Clinic receives, processes, and manages such applications.
② "Member" means a person who agrees to these Terms, enters into a service agreement with the Clinic, and uses the Service.
③ "Appointment Request" means the act by which the Member requests an appointment by designating the visit date and time, etc., via the Site, and "Appointment Confirmation" means the establishment of an appointment upon the Clinic's acceptance of the Appointment Request.
④ "ID" means a combination of letters or numbers determined by the Member and approved by the Clinic for the identification of the Member and use of the Service.
⑤ "Password" means a combination of letters or numbers determined by the Member themselves to verify that the Member matches the assigned ID and to protect the Member's information.
⑥ The definitions of terms not provided for in these Terms shall be governed by the relevant statutes and general commercial practice.
Article 3 (Provision of Clinic Information, etc.)
The Clinic posts the business information required by the Act on the Consumer Protection in Electronic Commerce, etc.—such as the trade name, the name of the representative, the location of the business establishment, contact information, and the business registration number—at the bottom of the Site screen, etc., so that the Member can easily verify it. The business information of the relevant branch is displayed according to the branch that the Member has accessed.
Article 4 (Specification and Amendment of the Terms)
① The Clinic posts the contents of these Terms on the initial screen or a linked screen of the Site so that the Member can easily become aware of them.
② The Clinic may amend these Terms within the scope that does not violate relevant statutes such as the Act on the Regulation of Terms and Conditions and the Act on the Consumer Protection in Electronic Commerce, etc.
③ When the Clinic amends the Terms, it shall, specifying the effective date and the reason for amendment, give notice by the method set forth in Article 10 from 7 days prior to the effective date. However, in the case of a change to contents that are disadvantageous or material to the Member, notice shall be given from 30 days prior to the effective date.
④ Where the Clinic, in giving notice of the amended Terms pursuant to Paragraph 3, has clearly informed the Member that "if the Member does not express an intention to refuse by the effective date, the Member shall be deemed to have agreed," and the Member has not expressly expressed an intention to refuse, the Member shall be deemed to have agreed to the amended Terms.
⑤ Where the Member does not agree to the amended Terms, the Clinic may not apply the amended Terms to that Member, in which case the Member may terminate the service agreement (withdraw membership).
Article 5 (Formation of the Service Agreement)
① The service agreement is formed when a person who wishes to become a Member agrees to these Terms, applies for use, and completes procedures such as "Register," and the Clinic accepts the same.
② Membership registration and the service agreement are formed separately for each Clinic (branch). Accordingly, where the same person wishes to use two or more branches, that person shall register and contract separately for each branch and shall be managed separately as a member of each branch.
③ The Clinic may decline to accept, or subsequently terminate the service agreement for, an application for use that falls under any of the following items.
- Where the application is made by misappropriating another person's name or information
- Where false information is entered or the information required by the Clinic is not entered
- Where a person under the age of 14 applies without the consent of a legal representative
- Where the applicant has previously lost membership status due to a violation of these Terms, etc. (except where the Clinic has consented to re-registration)
- Where it is reasonably determined that there is an operational or technical impediment to the Clinic's services
Article 6 (Special Provisions on Membership Registration of Minors)
① A user under the age of 14 must apply for membership registration after fully understanding the purpose of the collection and use of personal information and obtaining the consent of a legal representative such as a parent.
② The Clinic may cancel registration or decline to accept a user under the age of 14 who has not gone through the procedure for verifying the consent of a legal representative.
③ The legal representative of a user under the age of 14 may request the inspection, correction, or update of the relevant child's personal information, or withdraw consent to membership registration, in which case the Clinic shall take the necessary measures without delay.
Article 7 (Change of Member Information)
① The Member may inspect and modify their own personal information at any time through the member information management screen.
② Where the matters entered at the time of membership registration have changed, the Member must modify them immediately, and the Clinic shall not be liable for any disadvantage arising from the failure to make such modifications.
Article 8 (Obligation to Manage ID and Password)
① The responsibility for managing the Member's ID and password rests with the Member, and the Member shall not allow a third party to use them.
② Where the Member becomes aware that their ID or password has been misappropriated or is being used by a third party, the Member must immediately notify the Clinic and follow the Clinic's guidance.
③ The Clinic shall not be liable, absent willful misconduct or gross negligence, for any disadvantage arising from the Member's failure to give the notice under Paragraph 2, or from the Member's failure to follow the Clinic's guidance even after giving such notice.
Article 9 (Provision and Change of the Service)
① The Clinic provides the Member with the following services.
- Online appointment application, receipt, confirmation, and appointment management services
- Appointment-related guidance and notification services
- Information provision services such as events and content for Members
- Other services determined by the Clinic or provided in partnership with other companies
② The Clinic may change all or part of the services it provides as operationally or technically necessary, and upon such change shall notify the content, reason, and effective date thereof by the method set forth in Article 10.
③ The services provided through the Site relate to the application, receipt, and management of appointments, and medical practices such as examination and treatment are not provided through the Site. Actual examination and treatment take place under a separate medical relationship when the Member visits the Clinic.
Article 10 (Notice to Members)
① Where the Clinic gives notice to a specific Member, it may do so by methods such as the email registered by the Member, text message, or notification within the Site.
② Where the Clinic gives notice to an unspecified number of Members, it may substitute individual notice by posting on the Site bulletin board, etc., for 7 days or more. However, with respect to matters that materially affect the Member's own appointment, the individual notice under Paragraph 1 shall be given.
Article 11 (Receipt and Processing of Appointment Requests)
① The Member's Appointment Request constitutes an expression of intent to offer, and the appointment is formed when the Clinic's Appointment Confirmation notice reaches the Member.
② The appointment-related information submitted by the Member through the Site is used for the receipt, processing, and management of the appointment, and its processing is governed by the "Privacy Policy" separately established by the Clinic.
③ The Clinic may decline to accept an Appointment Request, or change or cancel an established appointment, where any of the following items applies, and shall not be liable, absent willful misconduct or gross negligence, for any damage incurred by the Member as a result thereof.
- Where the contents of the Appointment Request contain falsehoods, omissions, or errors
- Where it is difficult to provide the appointment due to circumstances such as the Clinic's examination schedule, closure, or capacity
- Where there is an unavoidable cause such as a natural disaster, facility inspection, or communication failure
- Where the Clinic otherwise determines, for reasonable cause, that it is difficult to receive or maintain the appointment
④ Where a change or cancellation of an appointment is necessary due to the Clinic's circumstances, the Clinic shall notify the Member by the method set forth in Article 10 and may, to the extent possible, suggest an alternative schedule.
⑤ Where the Member needs to change or cancel an appointment schedule, the Member must give notice in advance in accordance with the method guided by the Clinic, and where the Member fails to visit without prior notice and without justifiable cause, the Clinic may restrict its acceptance of future Appointment Requests.
Article 12 (Suspension of the Service)
① The Clinic may temporarily suspend the provision of the Service where a cause such as the maintenance, replacement, or breakdown of information and communication facilities, an interruption of communications, or a system inspection occurs.
② The Clinic may change or suspend all or part of the Service where there is a substantial managerial reason such as a change in the type of business, abandonment of the business, or a merger between companies.
③ The Clinic shall not be liable, absent willful misconduct or gross negligence, for any damage incurred by the Member or a third party as a result of the suspension of the provision of the Service for the causes under Paragraphs 1 and 2.
Article 13 (Withdrawal of Membership and Restriction or Loss of Status)
① The Member may request withdrawal from the Clinic at any time, and the Clinic shall process such request in accordance with the relevant statutes.
② The Clinic may restrict or suspend membership status, or terminate the service agreement, where the Member falls under any of the following items.
- Where the Member has violated these Terms or relevant statutes
- Where the Member registered false information at the time of registration or during use
- Where the Member misappropriated another person's name or information, or interfered with the operation of the Service
- Where the Member impaired the normal operation of the Clinic, such as by repeatedly failing to visit after making an appointment without justifiable cause
- Where it is otherwise reasonably determined that the Member is inappropriate as a Member
③ Where the Clinic causes a Member to lose membership status, it shall cancel the membership registration, and in this case the Clinic shall notify the Member of the reason therefor. The Clinic may, where it deems necessary, afford the Member an opportunity to explain.
Article 14 (Obligations of the Clinic)
The Clinic shall not engage in acts prohibited by relevant statutes and these Terms or contrary to public order and good morals, and shall endeavor to provide the Service continuously and stably. The Clinic shall endeavor to protect the Member's personal information in accordance with the relevant statutes and the "Privacy Policy."
Article 15 (Obligations of the Member)
The Member shall not engage in any of the following acts.
- Registering false content when applying for registration or making changes
- Misappropriating another person's information or applying for an appointment under another person's name
- Altering information posted by the Clinic without authorization
- Infringing the personal rights or intellectual property rights of the Clinic or a third party, or interfering with their business
- Acts that interfere with the normal operation of the appointment system, such as repeatedly or maliciously applying for or canceling appointments without justifiable cause
- Transmitting or posting information whose transmission or posting is prohibited under relevant statutes, such as spam or malicious code
- Impersonating an employee or operator of the Clinic
- Other acts contrary to public order and good morals or relevant statutes
Article 16 (Provision of Information and Posting of Advertisements)
① The Clinic may provide the Member with information necessary in connection with the operation of the Service by methods such as notices, email, text messages, or notifications within the Site.
② The Clinic may transmit advertising information for commercial purposes with the Member's prior consent, and the Member may refuse to receive it at any time. Where the Member refuses to receive it, the Clinic shall cease the transmission of such advertising information. However, essential transaction-related notices such as appointment confirmations and changes are excluded from the scope of refusal to receive.
③ The Clinic may post advertisements on the Service screen, homepage, email, etc.
Article 17 (Protection of Personal Information)
① The Clinic endeavors to protect the Member's personal information in accordance with the relevant statutes.
② The personal information entered by the Member is used for the provision of the Service, such as the receipt, processing, and management of appointments, and matters concerning its collection, use, provision, and protection are governed by the "Privacy Policy" separately established by the Clinic.
Article 18 (Management of Postings)
① The Clinic may delete, move, or refuse to register postings made or registered by the Member without prior notice where it determines that their content falls under any of the following items.
- Content that slanders or damages the reputation of another Member or a third party
- Content that disseminates information, text, figures, etc., that are contrary to public order and good morals
- Content determined to be related to criminal acts
- Content that infringes the rights, such as copyright, of another Member or a third party
- Content with a prominent advertising or commercial purpose
- Other content determined to be in violation of relevant statutes
② A person who claims to have had their rights infringed by information posted on a bulletin board, etc., operated by the Clinic may request the Clinic to delete the relevant information or post rebuttal content, and the Clinic shall take the necessary measures in accordance with the relevant statutes and notify the applicant of the result.
Article 19 (Attribution of Copyright and Restriction on Use)
① The copyright and other intellectual property rights to works created by the Clinic belong to the Clinic.
② The Member shall not use information obtained by using the Service for commercial purposes by means of reproduction, transmission, publication, distribution, broadcasting, or other methods, or allow a third party to use it, without the prior consent of the Clinic.
Article 20 (Indemnification of the Clinic)
① The services provided through the Site are limited to the application, receipt, and management of appointments, and these Terms do not govern matters concerning medical practices such as examination and treatment that the Member receives upon visiting the Clinic. Matters concerning the content, method, and results of examination and treatment are governed by the separate medical relationship between the Member and the Clinic and the relevant statutes (such as the Medical Service Act).
② The Clinic shall not be liable where it is unable to provide the Service due to force majeure such as a natural disaster, power outage, or communication failure.
③ The Clinic shall not be liable for any impediment to the use of the Service or any damage attributable to the Member's fault.
④ The Clinic does not guarantee the appointment confirmation or examination results that the Member expects through the Service, and shall not be liable for the reliability or accuracy of information or materials posted by the Member.
⑤ The Clinic shall not be liable in connection with the use of services provided free of charge, unless there is a special provision in the relevant statutes.
Article 21 (Compensation for Damages)
Absent willful misconduct or gross negligence on the part of the Clinic, the Clinic shall not be liable for any damage incurred by the Member in connection with the use of services provided free of charge. Even where the Clinic compensates the Member for damages, the scope thereof shall be limited to ordinary direct damages.
Article 22 (Resolution of Disputes and Jurisdiction)
① Where a dispute arises between the Clinic and the Member, both parties shall endeavor to resolve it by consulting faithfully and in good faith.
② Where a lawsuit is filed because no agreement is reached, it shall be filed with the court of the Republic of Korea having jurisdiction under the Civil Procedure Act.
